Terms of Service

Overview

These Terms of Service ('Terms') govern your access to and use of the HytchUp platform, including our website, mobile applications, and related services (collectively, the 'Service').

HytchUp is a technology platform that facilitates communication, scheduling, and relationship management between independent drivers and their clients. We do not provide transportation services, operate as a transportation carrier, or function as a taxi or delivery service.

By accessing or using HytchUp, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The HytchUp Service: A Communication Platform Only

HytchUp is strictly a technology and communication platform that facilitates connections and messaging between clients (riders) and drivers.

HytchUp does NOT provide transportation services, is NOT a transportation carrier, and does NOT function as a taxi service, freight carrier, or delivery service.

Drivers are completely independent third parties. They are not employees, independent contractors, agents, or affiliates of HytchUp. Any agreement for transportation is strictly and exclusively between the rider and the driver.

HytchUp does not comprehensively vet, interview, background-check, or endorse any user. We do not inspect vehicles, verify insurance coverage, or guarantee the roadworthiness of any automobile. You acknowledge that HytchUp has no control over the conduct of users or the condition of property.

2. Eligibility and Account Security

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service.

You are entirely responsible for all activity that occurs under your account. You agree to provide accurate information and immediately notify us of any unauthorized access.

HytchUp reserves the right to terminate or suspend your account at any time, for any reason, without notice or liability.

3. Disclaimers and Absolute Assumption of Risk

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE.' TO THE FULLEST EXTENT PERMITTED BY LAW, HYTCHUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

YOU ACKNOWLEDGE THAT INTERACTING WITH UNKNOWN INDIVIDUALS CARRIES INHERENT RISKS OF PHYSICAL HARM, DEATH, AND PROPERTY DAMAGE (INCLUDING DAMAGE TO VEHICLES OR PERSONAL BELONGINGS). YOU VOLUNTARILY ASSUME ALL RISKS RELATED TO YOUR USE OF THE PLATFORM.

HytchUp does not warrant that the Service will be secure, uninterrupted, or error-free, nor do we guarantee the safety, legality, or suitability of any driver, rider, or vehicle.

4. Absolute Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYTCHUP, ITS AFFILIATES, AND LICENSORS SHALL HAVE NO LIABILITY FOR ANY DIRECT, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

HYTCHUP IS NOT LIABLE FOR THE ACTS, ERRORS, OMISSIONS, NEGLIGENCE, OR CRIMINAL/UNLAWFUL CONDUCT OF ANY THIRD-PARTY DRIVER OR RIDER. ALL LIABILITY FOR TRANSPORTATION INCIDENTS, CRIMINAL ACTS, PERSONAL INJURIES, OR PROPERTY DAMAGE RESTS SOLELY WITH THE INDIVIDUAL USERS.

IN NO EVENT SHALL HYTCHUP’S TOTAL LIABILITY EXCEED THE GREATER OF $100 OR THE AMOUNT PAID DIRECTLY TO HYTCHUP IN THE PAST 12 MONTHS.

5. Full Indemnification

You agree to indemnify, defend, and hold harmless HytchUp from any and all claims, losses, liabilities, and legal fees (including attorney's fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; or (iii) any dispute or incident between you and another user (rider or driver), including claims of injury, criminal activity, or property damage.

This obligation survives the termination of your account or your use of the platform.

6. Agreement to Arbitrate and Delegation Clause

You and HytchUp agree that any dispute or claim arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA).

DELEGATION CLAUSE: The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement.

7. Class-Action and Jury Trial Waiver

YOU AND HYTCHUP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

You expressly waive your right to a trial by jury.

8. Arbitration Opt-Out and Governing Law

You may opt out of this arbitration agreement within 30 days of account creation by emailing legal@hytchup.com with the subject 'Arbitration Opt-Out.'

These Terms are governed by the Federal Arbitration Act and the laws of the State of Delaware, without regard to conflict-of-law principles.

9. Intellectual Property and User Content

The Service and all original content, features, and functionality are the exclusive property of HytchUp.

By submitting content or feedback, you grant HytchUp a perpetual, irrevocable, worldwide license to use and distribute such content without compensation to you.

10. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

These Terms constitute the entire agreement between you and HytchUp regarding the Service and supersede any prior agreements.
